1. Agreement to Terms

By visiting this website or engaging Mozonda LLC ("Mozonda," "we," "us," or "our") for services, you agree to be bound by these Terms & Conditions and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our website or services.

These terms govern the relationship between Mozonda and any individual or organization ("Client," "you") that accesses our website or enters into a service agreement with us.

2. About Mozonda

Mozonda is a software technology company headquartered in Gilbert, Arizona, United States. We design and develop custom software solutions including operational management systems, financial systems, and mobile applications for businesses across various industries.

3. Services

Mozonda provides software development services on a project basis. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

• Operational Systems: Custom software to manage business workflows, logistics, inventory, and day-to-day operations.
• Financial Systems: Loan management, accounting integrations, portfolio tracking, and financial reporting tools.
• Mobile Applications: Native and cross-platform mobile apps for iOS and Android.

Inquiries submitted through the "Get Started" form on this website do not constitute a binding contract. All engagements are formalized through a signed agreement.

4. Intellectual Property

Upon receipt of full payment for a project, the Client receives full ownership of all custom-developed code, designs, and deliverables produced specifically for that project, unless otherwise stated in the Service Agreement.

Mozonda retains ownership of:

• Any proprietary frameworks, libraries, tools, or components developed independently of the Client engagement.
• General methodologies, know-how, and development approaches.
• All content on this website, including text, graphics, logos, and design.

You may not reproduce, distribute, or use Mozonda's website content or branding without our prior written consent.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during a project engagement. Mozonda will not disclose your business data, processes, or project details to third parties without your written consent, except as required by law.

Any Non-Disclosure Agreement (NDA) executed as part of a Service Agreement takes precedence over this general confidentiality clause.

6. Payment Terms

Payment terms for each project are specified in the applicable Service Agreement or SOW. General terms include:

• Invoices are due within 15 days of issuance unless otherwise agreed.
• Late payments may be subject to a 1.5% monthly interest charge.
• Work may be paused on accounts with overdue balances exceeding 30 days.
• All fees are in U.S. dollars unless agreed otherwise.

7. Project Changes & Cancellations

Any changes to an agreed project scope must be submitted in writing and may result in revised timelines and pricing. Mozonda will provide a Change Order for the Client's approval before proceeding with out-of-scope work.

If a Client cancels a project after work has begun, payment is due for all work completed up to the cancellation date. Deposits paid to initiate a project are non-refundable unless Mozonda is unable to begin the engagement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Mozonda shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our software or services, including but not limited to loss of profits, data, or business opportunities.

Our total cumulative liability to any Client for any claim arising from a project engagement shall not exceed the total fees paid by that Client to Mozonda for that specific project.

9. Warranties & Disclaimers

Mozonda warrants that the software we develop will perform materially as described in the agreed specifications for a period of 90 days following final delivery ("Warranty Period"). During this period, we will correct material defects at no additional charge.

This website and any information on it are provided "as is" without warranty of any kind. We do not warrant that the website will be available uninterrupted or error-free.

10. Third-Party Services

Our projects may incorporate third-party libraries, APIs, or platforms (e.g., cloud hosting providers, payment processors). Mozonda is not responsible for the availability, performance, or terms of service of such third-party providers. Clients are responsible for any licensing or usage fees required by third-party services.

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Maricopa County, Arizona.

12. Changes to These Terms

Mozonda reserves the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes your acceptance of the revised terms.
